ANGELS DEN ACADEMY - ANGEL INVESTOR BOOTCAMP PURCHASE TERMS

1. Introduction

These terms govern your purchase of a place on the Angels Den Academy Angel Investor Bootcamp (the Programme). The Programme is run by Angels Den Funding Limited, registered in England and Wales.

By completing payment for a place you confirm that you have read and accept these terms.

2. What the Programme is

Two half-days, in person in London, five hours each, scheduled 3 to 7 days apart, together with preparation work you complete between them. The cohort is limited to 15 to 20 participants.

Admission is by written application followed by a short interview or call. Dates and venue are confirmed in your offer.

3. What the fee covers

All taught sessions, workshops, panels, the compliance briefing and one specialist track breakout across both half-days.

The capstone, including facilitator review of the work you submit between the half-days.

Course materials and a working lunch on both half-days.

A certificate of completion, the pre and post competence self-assessment, and entry into the Angels Den Alumni Network.

4. What the fee does not cover

Travel, accommodation and any other personal expenses.

The optional evening add-on, which is priced and booked separately. See section 5.

5. The optional evening add-on

The evening add-on is optional, priced separately and booked on a separate RSVP. It includes professional headshots, an extended capstone showcase and networking drinks.

It is not required to complete the Programme. Completing both half-days and the work between them is sufficient for the certificate of completion and Alumni Network membership.

It is refunded separately from the Programme fee. See section 9.

6. Application, offer and payment

Places are limited to preserve a balanced cohort and are not allocated first come, first served.

A short interview or call confirms fit, risk appetite and readiness to commit personal capital.

Successful applicants receive an offer stating the dates, the fee and payment instructions, including the option to add the evening.

Payment secures your place. On payment you receive the pre-programme pack, the session one worksheet and logistics for both half-days.

7. Fees, VAT and payment

The fee is the amount stated in your offer. All fees are stated in pounds sterling and are exclusive of UK VAT. Angels Den Funding Limited is registered for UK VAT, and VAT at the prevailing rate (currently 20 per cent) is added where applicable.

Payments are processed by Stripe. Your card details are entered directly into Stripe and are never transmitted to or stored by Angels Den.

Where you require a VAT invoice, invoices for each payment are available from the Stripe Customer Portal.

8. Your 14-day cooling-off period

Your contract with us is entered into when we confirm your place after payment. You may cancel within 14 days of that date (the Cooling-Off Period), for any reason and without giving one. To cancel, email info@angelsden.com within that period stating that you wish to cancel, or use the model cancellation form we send with your confirmation.

If you cancel within the Cooling-Off Period we will refund the fee you have paid. The refund is issued to the original payment method within 14 days of us receiving your notice.

We will not begin the Programme during your Cooling-Off Period unless you have expressly asked us to. If you have asked us to begin and you then cancel within the Cooling-Off Period, we may deduct an amount in proportion to what has already been supplied, measured against the Programme as a whole. If you have not asked us to begin, no deduction is made.

Cohorts often begin less than 14 days after booking. Where yours does, we ask you at checkout to confirm that you want the Programme to start during your Cooling-Off Period. If you would rather not, we will offer you a place on the next cohort instead, so that your cancellation period runs its course before the Programme begins.

Your booking confirmation sets out this cancellation right in full and includes a model cancellation form you can use.

9. Refunds for the evening add-on

The evening add-on is refundable separately. You may cancel the evening and keep your place on the Programme. The same 14-day Cooling-Off Period applies, running from the date we confirm your evening booking.

Cancelling your place on the Programme also cancels the evening, and the evening fee is refunded on the same terms as the Programme fee.

10. Cancellation outside the Cooling-Off Period

Outside the Cooling-Off Period the fee is non-refundable. If you can no longer attend, you may transfer your place to the next cohort under section 11.

To arrange a transfer, contact info@angelsden.com. Nothing in these terms affects your statutory rights.

11. Transferring your place

If you cannot attend the dates in your offer, you may transfer your place to the next cohort, subject to availability and to written notice given at least 7 days before the first half-day.

Where the fee for the next cohort is higher, the difference is payable. We do not refund a difference where the later fee is lower.

Places are personal to the named participant and may not be transferred, assigned or sold to another person without our prior written consent. Because admission is by application and interview, any substitute would need to complete that process.

12. If we cancel or reschedule

If we cancel the Programme, or change the dates and you cannot attend the new ones, you may choose either a full refund of the fee you have paid or a transfer to a later cohort.

We are not responsible for travel or accommodation costs you have incurred, so please make flexible arrangements where you can.

13. Faculty and running order

Faculty, panellists and the running order are confirmed to applicants ahead of the Programme and may change. Where they do, we will keep the curriculum and the total contact time materially the same.

14. This is not financial advice

Angels Den does not provide investment advice through the Programme. Guest experts speak from personal experience, not as advisers, and every participant acts on their own due diligence and judgement.

Nothing in the Programme is an offer, inducement or recommendation to invest in any company.

15. Course materials

Course materials are provided for your personal use on the Programme. You may not copy, redistribute, reproduce or use them commercially without our prior written consent.

16. Conduct

We may remove a participant from the Programme without refund for abusive, threatening, harassing or unlawful conduct toward other participants, faculty, Angels Den staff or third parties.

17. Limitation of liability

Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation.

Subject to that, our total aggregate liability for any and all claims arising out of or in connection with the Programme is limited to the total fees you have actually paid to Angels Den for it.

18. Data protection

Your personal data is processed in accordance with our Privacy Policy, available at angelsden.com/privacy. Information about how Stripe processes your payment data is set out in the Stripe privacy notice at stripe.com/privacy.

19. Complaints

If you have a complaint about the Programme, contact us at info@angelsden.com. We will acknowledge your complaint within 14 days and work with you to resolve it in good faith.

20. Events outside our control

We are not liable for any failure or delay in performing our obligations under these terms where that failure or delay results from events outside our reasonable control. Where such an event prevents the Programme from running, section 12 applies.

21. Changes to these terms

We may update these terms from time to time. The terms that apply to your purchase are the ones in force on the date you paid, and we will notify you by email of any material change affecting a place you have already bought.

22. Governing law and jurisdiction

These terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction.
