ANGELS DEN INVESTOR MEMBERSHIP TERMS OF SERVICE

1.1. Introduction

These Membership Terms and Conditions ("Membership Terms") govern your purchase of an Angels Den paid membership ("Membership"). They are between you (the "Member") and ANGELS DEN FUNDING LIMITED, trading as Angels Den ("Angels Den", "we", "us", "our").

By completing checkout for a Membership through Stripe, you confirm that you have read, understood, and agree to be bound by these Membership Terms and have read our Privacy Policy.

These Membership Terms apply in addition to our Investor Terms of Service, which govern your use of the Angels Den platform (app.angelsden.com). Where there is a direct conflict between these Membership Terms and the Investor Terms of Service in respect of the paid Membership relationship, these Membership Terms prevail.

2. Membership Tiers and Benefits

We currently offer two Membership tiers:

Founding Member — £1,000 per year, or £100 per month (each excluding VAT).

Includes: full platform access, direct founder introductions, investment data packs on screened startups, priority access to events, panel and speaking opportunities at select events, and administrative support in connection with SPV arrangements carried out by FCA-regulated partners.

Select Access — £5,000 per year, or £500 per month (each excluding VAT).

Includes everything in the Founding Member tier, plus: priority access to all events (subject to availability), quarterly private dinners, priority consideration for panel and speaking opportunities throughout the year, and access to Curve & Loom Club workspaces (subject to fair usage and partner terms).

We may add, remove, or change individual benefits within a tier from time to time. We will give you at least 30 days’ notice by email of any material reduction in the benefits of your tier. If you do not accept the change, you may cancel your Membership and we will refund a pro-rata portion of any prepaid annual fee covering the period from cancellation to the end of your current paid term.

Memberships are personal to the named Member at checkout and may not be transferred, assigned, or sold to any other person without our prior written consent.

3. Scope of Benefits

Membership fees are paid for access to the platform, network, events, and related services, and are not contingent on investment outcomes.

Membership does not guarantee access to any specific investment opportunity, founder introduction, allocation, event place, or participation right.

We do not guarantee uninterrupted availability of the platform, digital services, or Membership features.

Certain Membership benefits may be provided by third-party partners or service providers. Angels Den is not responsible for the availability, acts, omissions, or policies of such third parties.

Certain Membership benefits may be subject to reasonable fair usage limits.

Access to events and partner venues may require advance booking and may be subject to capacity limits.

Any investment materials, screening reports, or data packs made available to you are provided for informational purposes only and do not constitute investment advice, recommendations, or endorsements. You are responsible for conducting your own independent due diligence and for seeking independent professional advice where appropriate.

4. Term and Auto-Renewal

Your Membership begins on the date you complete checkout and runs for the billing cycle you selected (annual or monthly).

Your Membership renews automatically. At the end of each billing cycle, your Membership will automatically renew for a further period of the same length, and your registered payment method will be charged the then-current fee, unless you have cancelled before the renewal date.

This is a recurring, ongoing subscription that continues until you cancel.

5. Fees, VAT, and Payment

Membership fees are as set out in Section 2 and as shown at checkout. All fees are stated in pounds sterling (GBP) and are exclusive of UK VAT. Angels Den Funding Limited is registered for UK VAT. VAT at the prevailing rate (currently 20%) will be added to your fee at checkout and shown separately on your invoice.

Payments are processed by Stripe (PCI DSS Level 1 compliant). Your payment card details are entered directly into Stripe and are never transmitted to or stored by Angels Den. By completing checkout you authorise Stripe to charge your registered payment method for the initial fee and for each subsequent renewal at the then-current fee.

Where you require a VAT invoice, you can download invoices for each payment from the Stripe Customer Portal.

We may change Membership fees from time to time. Any change to your renewal fee will be notified to you by email at least 30 days before the change takes effect. If you do not accept the new fee, you may cancel your Membership before the change takes effect and the new fee will not apply to you.

6. 14-Day Cooling-Off Period

You have a statutory right under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 to cancel your initial Membership purchase within 14 calendar days of completing checkout (the "Cooling-Off Period"), without giving any reason.

To exercise this right, email us at info@angelsden.com within the Cooling-Off Period stating that you wish to cancel.

If you cancel within the Cooling-Off Period, we will refund the full Membership fee you have paid, regardless of any benefits you may have used during that period. The refund will be issued to the original payment method within 14 days of receiving your cancellation notice.

The Cooling-Off Period applies only to your initial Membership purchase. It does not reset on subsequent automatic renewals.

7. Renewal Reminders

For annual Memberships, we will send you a reminder email at least 30 days before each automatic renewal, stating the renewal date, the amount that will be charged, and how to cancel if you do not wish to renew.

For monthly Memberships, you will receive an invoice email from Stripe each time your payment method is charged. You can view your renewal date and cancel at any time via the Stripe Customer Portal.

8. Cancellation Outside the Cooling-Off Period

You can cancel your Membership at any time through the Stripe Customer Portal, which is accessible from any Stripe payment receipt or renewal email, or by emailing us at info@angelsden.com.

If you cancel after the Cooling-Off Period:

  • Your Membership will continue until the end of your current paid billing cycle, and you will retain access to your Membership benefits until that date.

  • You will not be charged for any further renewals.

  • We do not provide pro-rata refunds for the unused portion of the current billing cycle.

9. Discretionary Refunds

Outside the Cooling-Off Period, refunds are at our discretion. If you experience a material service issue that we are unable to resolve, contact us at info@angelsden.com and we will consider your request in good faith. Nothing in this section limits your statutory rights under the Consumer Rights Act 2015.

10. Failed Payments

If a renewal payment fails, Stripe will automatically retry the payment over a short period in line with Stripe’s standard retry schedule. We will email you about the failed payment and the steps to update your payment method.

If the payment cannot be successfully collected after Stripe’s retry attempts, your Membership benefits may be suspended and your Membership may be cancelled. Reactivating a cancelled Membership requires a new purchase at the then-current fee.

11. Investor Certification

Access to certain Angels Den platform features (including deal content, founder introductions, and any communication that constitutes a financial promotion) requires a valid investor self-certification as a Certified High Net Worth Individual or Self-Certified Sophisticated Investor. Investor certification is a separate requirement from your Membership and is governed by our Investor Terms of Service.

If your certification expires and is not renewed, certification-gated features will become unavailable to you. Other Membership benefits that do not depend on certification (such as event access and workspace use, where applicable to your tier) will continue. Expiry or loss of certification does not entitle you to a refund of Membership fees.

12. Suspension and Termination by Us

We may suspend or terminate your Membership without refund (other than as required by law) if:

  • You materially breach these Membership Terms or our Investor Terms of Service;

  • You provide false or misleading information in your investor self-certification;

  • You engage in abusive, threatening, harassing, or unlawful conduct toward founders, other members, Angels Den staff, or third parties associated with Angels Den;

  • You misuse confidential deal content (including sharing it with non-certified individuals); or

  • We are required to do so by law, regulation, or a court order.

We may also terminate your Membership for any other reason on at least 30 days’ written notice, in which case we will refund a pro-rata portion of any prepaid annual fee covering the period from termination to the end of your current paid term.

13. Limitation of Liability

Nothing in these Membership Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any liability that cannot be excluded or limited under applicable law (including under the Consumer Rights Act 2015).

Subject to that, our total aggregate liability to you for any and all claims arising out of or in connection with your Membership is limited to the total Membership fees you have actually paid to Angels Den in the 12-month period immediately preceding the event giving rise to the claim.

We are not liable for any loss arising from an investment decision you make. Membership does not constitute investment advice, a personal recommendation, or any form of suitability assessment. Our role as an introducer, and the limits of that role, are set out in the Investor Terms of Service.

14. Changes to These Membership Terms

We may update these Membership Terms from time to time. If we make material changes, we will notify you by email at least 30 days before the changes take effect. Your continued Membership after the effective date constitutes acceptance of the updated Membership Terms. If you do not accept the updated Membership Terms, you may cancel your Membership before the changes take effect and we will refund a pro-rata portion of any prepaid annual fee covering the period from cancellation to the end of your current paid term.

We will maintain an archive of previous versions. You may request a copy by contacting info@angelsden.com.

15. Data Protection

Your personal data is processed in accordance with our Privacy Policy, available at angelsden.com/privacy. Information about how Stripe processes your payment data is set out in Stripe’s own privacy notice, available at stripe.com/privacy.

16. Complaints

If you have a complaint about your Membership, please contact us at info@angelsden.com. We will acknowledge your complaint within 14 days and work to resolve it in good faith. If we cannot resolve your complaint within 30 days of your initial contact, you may pursue the matter through the courts as set out in Section 18. Nothing in this section affects your statutory rights.

17. Events Outside Our Control (Force Majeure)

We are not liable for any failure or delay in performing our obligations under these Membership Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, government actions, power failures, internet failures, or third-party service outages. Where a force majeure event materially affects benefits to which you are entitled, we will use reasonable endeavours to provide alternative arrangements or, where appropriate, an extension of your Membership term.

18. Governing Law and Jurisdiction

These Membership Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute arising out of or in connection with these Membership Terms, save that if you are a consumer resident outside England and Wales you may also be entitled to bring proceedings in the courts of your country of residence.
